CONTEST TERMS

The Contest runs for a total of twenty two (22) weeks, beginning at 12:00 midnite EDT on September 10, 2009 and ending at 5:00 p.m. EST on February 7, 2010.

ELIGIBILITY

The Contest is open only to legal residents of the United States who reside in the Commonwealth of Massachusetts and who are eighteen (18) years of age or older as of September 1, 2009. Employees of GateHouse Media, Inc. and GateHouse Media Massachusetts I, Inc. (collectively, “GateHouse Media”), and each of their respective divisions, affiliates, parent companies, subsidiaries, advertising and promotion agencies (including immediate family members or those living in the same household) are not eligible to enter the Contest.

HOW TO ENTER

No Purchase Necessary

Visit www.wickedlocal.com and locate the Upickem contest and enter your name, address, e-mail address, daytime phone number and age. Click “submit” to be entered in the Contest. Only one entry per day, per person, per email address.

CONTEST RULES

There will be twenty one (21) weekly Contests, each with a weekly winner. For each weekly Contest, the winner is chosen as follows:

a. Each entrant picks a winner and score for each professional football game (the “Game” or “Games”) being held that week, including the Game being held on Monday night. Entrants can pick the winner and the score for each Game up to fifteen (15) minutes prior to the start of the Game.

b. An entrant’s "score approximation" is determined by subtracting the entrant’s score for the winning team from the actual winning team's score and then squaring the difference for each of the week’s Games (other than the Monday night Game). The score the entrant chooses for the losing team is subtracted from the actual losing team's score and that difference is squared. The two squared differences are then added together. The score approximation value for all of the week’s Games (other than the Monday night Game) will then be added together, and the entrant with the lowest score approximation wins. If an entrant does not pick a winner and/or score for one or more Games, the system will automatically default to the Game(s) favorite, and the resulting score approximation value will be used for that Game(s) and will be included in the weekly total. In the event of a tie, the actual score for the Game on Monday night is used as the tie-breaker. The winner of the tie will be that entry that comes the closest to the actual score without going over the actual score. If there is still a tie, a random winner is chosen from those entrants who are tied.

c. If a Game is canceled, forfeited, or indefinitely suspended for any reason, or if a Game results in a tie, that Game shall not count for any entrant and scores for the other Games will be computed as if the Game did not exist. In the event the tie-breaker Game on Monday night is canceled, forfeited, or indefinitely suspended for any reason, a random winner will be chosen from those entrants who are tied.

For the Grand Prize winner of the Contest, the winner is chosen as follows:

a. The final game of the season (the “Big Game”) will be played on February 7, 2010.

b. Entrants pick a winner of the Big Game and score for the Big Game.

c. An entrant’s "score approximation" for the Big Game is determined by subtracting the entrant’s score for the winning team from the actual winning team's score and then squaring the difference. The number the entrant chose as the score for the losing team is also subtracted from the actual losing team's score and that difference is squared. The two squared differences are then added together. The entrant with the lowest score approximation will be the Grand Prize winner of the Contest. In the event of a tie, a random winner will be chosen from those entrants who are tied.


DRAWINGS AND PRIZES

A total of twenty two (22) prizes will be awarded. There will be twenty-one (21) weekly winners and one (1) grand prize winner.

Weekly Prize
Each weekly winner will be awarded a $25 American Express Gift Certificate.

Grand Prize
The overall winner of the Contest will be chosen on February 7, 2010 and awarded a $300 American Express Gift Certificate.

There is no limit to the number of prizes an entrant can win. A weekly prize winner is eligible to win the grand prize or any other weekly prize.

Winners will be announced in 72 hours and be notified by e-mail and/or overnight letter by Wednesday each week. If both methods fail after seven (7) days, GateHouse Media will select an alternate winner. Decisions of GateHouse Media regarding the Contest are final. Odds of winning depend on the number of eligible entries received and the number of entries picking the correct winners and Game scores.

The potential prize winners must sign an Affidavit of Eligibility, Liability and Publicity Release in order to be eligible to accept the prizes. No substitution or transfer of the prizes will be allowed, except at the sole discretion of GateHouse Media. GateHouse Media reserves the right to substitute prizes of equal or greater value. All local, state and federal taxes incurred by accepting a prize will be the sole responsibility of the prize winners.


INTERNET

It is the entrant’s responsibility to enter in the appropriate manner. Each entrant is responsible for all costs or charges involved in accessing the Wickedlocal.com web site and warrants that the cost of accessing the site, if any, is part of a larger agreement with an Internet Service Provider or some other means, and that the cost of this access is not an incremental cost. If for any reason the internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of GateHouse Media which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, GateHouse Media reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify, or suspend the Contest. Should the online portion of the Contest be terminated prior to February 7, 2010, finalists will be drawn at days-end from eligible entries received online up to the time of cancellation and eligible entries received by mail to entry end-date. GateHouse Media assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communication line failure, theft, or destruction or unauthorized access to, or alteration of entries. GateHouse Media is not responsible for lost, misdirected, illegible, damaged or undelivered entries. GateHouse Media is not responsible for any problems or technical malfunctions of any telephone network or lines, computer online systems, services or providers, computer equipment, software, failure of any email or entry to be received due to technical problems or traffic congestion on the internet or at any web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading of any material in this Contest. CAUTION: Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, GateHouse Media reserves the right to seek damages from any such person to the fullest extent permitted by law. In the event of a dispute, entries made by Internet will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Automated entries are prohibited, and any use of such devices will cause disqualification. Collection and use of personally identifiable information will be in accordance with the www.wickedlocal.com Privacy Policy as posted on www.wickedlocal.com.


CONDITIONS

By entering, entrants agree to comply with these Official Rules and the decisions of GateHouse Media, which are binding and final, and release GateHouse Media, and each of its divisions, affiliates, parent companies, subsidiaries, advertising and promotion agencies and anyone associated with the production of this Contest, and their respective directors, officers, employees and agents from any and all liability for any claims, injuries, losses or damages (including attorneys fees) of any kind arising out of their participation in this Contest or resulting from acceptance, possession, use or misuse of any prize. The potential prize winners waive the right to assert as a cost of winning the prize any and all costs of verification and redemption or travel to redeem said prizes and waive any liability or claims (including attorneys fees) which might arise from redeeming or seeking to redeem said prizes. In the event of non-compliance with these Official Rules, or if prize notification is returned to GateHouse Media as undeliverable, if prizes are refused or cannot be accepted for any reason, the prizes will be forfeited and an alternate winner will be selected in a random drawing. Upon forfeiture or refusal, no compensation will be given. Acceptance of prize constitutes permission to use the winner's name, photograph, likeness and/or statements attributed to winner regarding the Contest, for advertising and publicity purposes without further compensation or consent. All entries become the property of GateHouse Media. This Contest shall only be construed and evaluated according to the laws of the Commonwealth of Massachusetts, without regard to the principles of conflicts of laws and submission of any entry constitutes acceptance of such laws. This Contest is void where prohibited. All federal, state and local laws and regulations apply.

This Contest is not intended for gambling. If it is determined that an entrant is using the Contest for gambling purposes, he/she will be disqualified and reported to authorities.

GateHouse Media and its affiliates reserve the right to use any and all information related to the Contest, including information on entrants obtained through the Contest, for marketing purposes or any other purpose, unless prohibited by law.

GateHouse Media, UPICKEM and their affiliates reserve the right to change the rules of the Contest at any time.

Each weekly winner will be awarded one (1) day of rich media advertising in one (1) zone on the wickedlocal.com network of websites (the “Advertising Prize”). The Ad copy for the Advertising Prize (the “Ad” or “Ads”) must be submitted to GateHouse Media by the winner within two (2) weeks of notification by GateHouse Media. After notification by GateHouse Media that the Ad has been accepted (the “Acceptance”), the winner must designate a date for placement of the Ad, which date shall not be more than four (4) weeks after the Acceptance (the “Placement Date”). The actual placement of the Ad will be in the zone designated by GateHouse Media. Except for the cost of the Ad, the Ad is otherwise subject to the terms and conditions of the WickedLocal.com rate cards.

Grand Prize
The overall winner of the Contest will be chosen on February 7, 2010 and awarded a one (1) day advertising site takeover in one (1) zone of the wickedlocal.com network of websites (the “Advertising Site Prize”). The Ads must be submitted to GateHouse Media by the winner within two (2) weeks of notification by GateHouse Media. After Acceptance of the Ads, the winner must designate the Placement Date. The actual placement of the Ads will be in the zone designated by GateHouse Media. Except for the cost of the advertising, the advertising is otherwise subject to the terms and conditions of the WickedLocal.com rate cards.
